BEFORE USING THIS SITE, USERS MUST AGREE that by using fmjauctions.com, referred to as the “Site.” Each User agrees that the following terms should guide the User's use of the Site and the Services offered on the Site, as well as MNC INDUSTRIES, LLC's responsibilities toward the User. Before using the Site or creating a User account, each User must read and accept all of the terms contained in, linked to, and incorporated into this MNC INDUSTRIES, LLC User Agreement (hereafter “Agreement” or “Contract”) when registering a user account.

User signifies acceptance of the terms herein by accessing, using, or browsing, this Site with an understanding that MNC INDUSTRIES, LLC will rely on this indication as acceptance of this Agreement, in any of the following manners: by accessing or Using this Site, by doing business on this Site, or by affixing User's electronic signature, or signifying their acceptance by otherwise indicating assent to this Agreement.

This Agreement includes defined terms for: Affiliate, Agreement, Aggregated Data, Ammunition, Applicable Law, Automated calls or text messaging, Buyer, Buyer's Dispute Claim, Company, Consent, Content, FFL, Fees, Firearm, MNC INDUSTRIES LLC Parties, Privacy Policy, Intellectual Property, Item, Linked Sites, Listing, Optional Services, Personal Information, Post/Posting, Registered Users, Seller, Services, Site, Submissions, Support System, Transfer, Undertaking, Unregistered Users, User, User Information, US Sanctions Law, and You. Full definitions are available in the complete User Agreement.

Users. A User may take advantage of the information offered on this Site without becoming a Registered User. There are benefits to registration, including advantages in buying and selling on the Site. You will not be able to buy or sell on the Site if you do not register.

Registered Users: Eligibility and Accuracy of Information. By registering, Users affirm that they are at least 18 years of age and are over the age of legal majority in their state or country of residence. Users represent and warrant that they are not prohibited by Applicable Law from owning or possessing firearms or ammunition. Users must provide true and accurate Information.

Termination and Suspension. We reserve the right at our sole discretion to reject User registration requests, and, if electing to do so, shall notify Users of the decision. Even after acceptance, we may in our sole discretion terminate or suspend User's accounts.

Changes to Agreement. We reserve the right to amend this Agreement. Users' continued use of the Site after such changes are posted will constitute their agreement to such amended Agreement.

Consent to Use User's Phone Number. By providing their phone number, Users agree to receive automated calls or text messaging including recorded voice messages, auto-dialed calls, and marketing messages. Users may opt out through their account settings.

By conducting business or using Services on this Site, each Seller agrees to pay the applicable Commission or Fee per transaction. Commission rates and fees are disclosed on the Commission page. MNC INDUSTRIES, LLC reserves the right to set off any amounts owed against credits, refunds, or other payments due to Users.

Only a Marketplace Venue. The Site is only a marketplace bringing together Buyers and Sellers. MNC INDUSTRIES, LLC is not a transacting party, does not act as agent of any Buyer or Seller, and never takes possession of any Items sold on this Site.

Transfers of Firearms. All shipments and transfers of Firearms may only be conducted by and between FFLs. Buyers and Sellers represent and warrant that they are valid FFL holders responsible for complying with all Applicable Laws.

Transfer and Shipment of All Items Not Classified as Firearms. Buyers and Sellers represent and warrant that they are authorized under all Applicable Laws to purchase the subject Items. The Buyer is responsible for arranging and facilitating shipment.

Disclaimer About Users and Items. MNC INDUSTRIES, LLC disclaims any responsibility or liability for Buyers', Sellers' or other Users' representations or misrepresentations on this Site.

Users of this Site who do not register but avail themselves of the products or services offered by the Site make certain promises and covenants to MNC INDUSTRIES, LLC, as manifested by their visiting and/or using the Site, including provisions relating to liability, dispute resolution, and intellectual property.

Seller's Covenants. Seller's listing of an Item constitutes a binding offer to sell. Sellers represent and warrant that all User Information is true and accurate, they have the right to sell Items free from liens, and their Listings will not be fraudulent or involve counterfeit or stolen items. Sellers agree not to engage in bid rigging or sale price manipulation, and to comply with all Applicable Laws.

Buyer's Covenants. Placing a bid on an auction item constitutes a legally binding contract. Buyer covenants to tender payment within forty-eight (48) hours of creating a binding contract. If Buyer fails to tender payment, Buyer's credit card stored on their User Account will be charged a non-refundable administrative fee of $250 as liquidated damages and the Item may be relisted for sale.

Buyers agree not to contact any Seller outside the Site to complete off-platform sales. Buyers agree to complete ATF form 4473 and all required background checks prior to Transfer. Buyers covenant not to purchase firearms on behalf of third parties (no straw purchases).

Buyer's Protection Generally. Where a Buyer claims that a Seller has violated the terms of this Agreement by failing to deliver an Item after payment, or by misrepresenting the Item, the Buyer may submit a “Buyer Dispute Claim” to MNC INDUSTRIES, LLC.

Buyer's Right to Reject Items. The Buyer reserves the right to reject Items for seventy-two (72) hours following delivery of a shipment of Items that were materially misrepresented or were sold based on deception or unfairness.

Procedure to File a Buyer Dispute Claim. Prior to filing a Buyer Dispute Claim, any dissatisfied Buyer must present their claims to the Seller for informal resolution within the first thirty (30) days after the Buyer's notice of rejection. If no resolution is reached, Buyers have an additional 30 days to submit their Buyer Dispute Claim.

For the convenience of Users, MNC INDUSTRIES, LLC may integrate or facilitate access to certain blockchain-based payment systems, digital wallets, smart contracts, cryptocurrency networks, and other third-party payment technologies (collectively, the “Payment Platforms”). Use of any Payment Platform is entirely at the User's own risk.

MNC INDUSTRIES, LLC does not guarantee the performance of any third-party Payment Platform. Blockchain transactions may be irreversible. MNC INDUSTRIES, LLC shall not be responsible or liable for any loss of funds, digital assets, or other damages arising from the use of any Payment Platform.

To the fullest extent permitted by law, User releases and waives any claim against MNC INDUSTRIES, LLC arising from any Payment Platform or blockchain transaction.

License for Use of User's Content. By posting Content on the Site, Users grant MNC INDUSTRIES, LLC a worldwide, royalty-free, perpetual, irrevocable license to use, modify, display, and distribute such Content for the general business purposes of the company.

Restrictions on Use. Users may not download, reproduce, publish, transmit, distribute, display, modify, or exploit any MNC INDUSTRIES, LLC Content. All software is protected by U.S. and international copyright laws.

Seller Reviews. MNC INDUSTRIES, LLC may permit Buyers to submit reviews and ratings. By submitting a Review, the Buyer represents that the Review is truthful and based on actual experience. MNC INDUSTRIES, LLC reserves the right to monitor, edit, or remove any Review at its sole discretion.

Abuse of Site. Users are prohibited from violating or attempting to violate the security of the Site, including probing, scanning, or testing the vulnerability of any system or network.

DISCLAIMER OF WARRANTIES. USERS AGREE THAT USE OF THE SITE AND SERVICES IS PROVIDED ENTIRELY WITHOUT WARRANTY AND COMPLETELY AT USERS' OWN RISK. THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF NON-INFRINGEMENT, TITLE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NONE OF THE MNC INDUSTRIES, LLC PARTIES SHALL BE LIABLE FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES RELATED TO THE USE OF THE SITE. THE TOTAL LIABILITY OF MNC INDUSTRIES, LLC PARTIES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT USERS HAVE PAID IN THE SIX (6) MONTHS PRIOR TO THE CLAIM OR (B) US $200.00.

Indemnification. Users agree to indemnify, defend and hold MNC INDUSTRIES, LLC harmless from and against any and all claims and losses incurred in connection with any breach of this Agreement, use of the Site, or violation of any Applicable Law.

Release. Each User hereby releases all MNC INDUSTRIES, LLC Parties from any and all claims and losses arising from disputes between User and other Users.

User covenants and agrees that any lawsuit, claim, or cause of action must be filed within sixty (60) days after the event giving rise to such claim or cause of action. Any claim filed after the permitted time for filing an action shall be forever barred.

International Users. The Site is controlled, operated, and administered by MNC INDUSTRIES, LLC from within the United States. Users accessing the Site from outside the U.S. are responsible for compliance with all Applicable Laws in their location.

Governing Law. This Agreement shall be governed by the laws of the State of Wyoming, excluding its conflicts of laws provisions.

Attorney Fees. In any dispute arising out of this Agreement, the prevailing party shall be entitled to recover all reasonable attorneys' fees and costs.

Venue. Any action arising out of this Agreement shall be brought exclusively in the state courts located in Laramie County, Wyoming, or if federal jurisdiction exists, the United States District Court for the District of Wyoming.

CLASS ACTION WAIVER. Upon acceptance of these Terms, you agree you no longer possess the rights to participate in a class action, private attorney general action, or other representative action in court, either as a class representative or class member, or to join or consolidate claims with claims of any other persons.

PUBLIC INJUNCTIVE RELIEF WAIVER. The parties agree that any claim shall be brought solely in an individual capacity, and neither party shall seek or obtain public injunctive relief on behalf of the general public.

Notices. Notices shall be given exclusively by written electronic mail to us at support@fmjauctions.com, and to Users at the electronic mailing address listed in User's account profile.

Electronic Execution. By using the Site, each User agrees to transact business electronically. User's electronic signature shall be construed as the legal equivalent of manual signature.

Entire Agreement. This Agreement constitutes the entire agreement between each User and MNC INDUSTRIES, LLC and supersedes all prior representations, agreements, or statements.
